National Archives Kew lookup request COMPLETED

Is there any member going along to The National Archives at Kew to do some research would be willing to lookup the details of an article that I have found on A2A which I believe relates to my wife's family.

Details as follows

Piece details....BT31/11233/85809
Board of Trade:Companies Registration Office:Files of dissolved Companies.
No. of Company:85809;Bruce Green & Co Ltd.
Files of dissolved Companies Date:1905.

Hi David

I've had a look at the file, there are 25 pages of documents (all legal types) relating to Bruce Green & Co Ltd.

Now I know what's there, what are you hoping to find out?

Hi Dawn

Firstly thank you very much for looking for me.

I am hoping these documents relate to my wife's family "de Woolfson". According to the 1911 census a company called Bruce Green & Co Ltd (optical or opticians) was owned by a Bruce Green de Woolfson. According to family in America the compony was formed between a Theodore Green de Woolfson, brother Simon and then son Bruce. In 1912 Bruce Green de Woolfson ran off to America with another women (hence the American family). He apparently arrived in America with a lot of money and It is believed he sold the business, pocketed the money and ran.

Any information confirming the company was an optical or opticians business  owned by the de Woolfson family, names, addresses. When and why the company was dissolved or sold and who by, and anything relating to "de Woolfson"

Hi David

I only had time to briefly list the 25 documents making up this file.

I didn't have time to read all of them but I can cofirm:

Angus Newton Scott was appointed company secretary, Bruce Green, Herbert Arnold and Arthur Davis consented to act as Directors.

The name 'Bruce Green de Woolfson' does appear in the files, the company was an opticians.

The company was wound up voluntarily as a result of a resolution passed at an extraordinary agm in 1912.

A liquidator was appointed.

The file also contains amongst other papers:
Memorandum of Incorporation, Articles of Association, Certificate of Incorporation, Registered Office, Change of Situation of Registered Office, Summary of capital and shares 1906, 1911 and 1912.

Once again thank you for your help on this matter.

Can you recall what was written in respect of Bruce Green de Woolfson?. Was he still part of the company at the time of the AGM in 1912. The reason I'm asking is that Bruce left England aboard the Lousitania bound for New York on 10th June 1911 with the other women, never to return to his English wife & family.

Not exactly what you are after, but there are two notices in the London Gazette, Issue 28673, pages 9725 and 9727.
Chairman of the company at the time they were wound up was E H Grimsdell.
